Terms and Conditions

We are delighted to work with you. Adhering to the below practices will ensure an effective, smooth and growing collaboration with Sabamaa. All Sellers using the Sabamaa Platform agree to comply with the general Terms and Conditions as set out below.

Interpretation and Identity

All orders notified by Sabamaa EU B.V., Sabamaa UK Ltd. (hereinafter together referred to as Sabamaa) are subject to the following terms and conditions, which shall prevail over any other terms or conditions, unless otherwise expressly agreed to in writing by Sabamaa.

Stock

As a Seller on Sabamaa, you acknowledge and agree:

  • All goods are genuine, new, unopened, unused, and ready for retail.
  • All goods are not decoded, not testers, and manufactured within three years.
  • Goods with an expiry date conform to minimum remaining shelf life requirements.
  • Goods typically sold with cellophane are delivered with cellophane.
  • All goods are eligible for the selected countries of delivery.
  • Stock list is updated at least once every 3 days.
  • Stock list contains GTINs, price, inventory, and selling units.
  • Seller authorizes Sabamaa to set the pricing for all goods.

Fulfilment

  • All required information must be provided via Seller Portal or API.
  • Orders must be fulfilled at 100% or at least 95% of quantities ordered.
  • Orders must be fulfilled with exact GTINs; alternative variants are not accepted.
  • All orders are completed within 3 business days on the Seller Portal.

Shipping

  • All orders are shipped within 3 business days.
  • Each order is packed and shipped separately.
  • Packaging must comply with Sabamaa’s requirements; otherwise, the Seller is liable for damages.
  • Orders are shipped in unbranded packaging, with documentation only if specified.
  • Orders use Sabamaa’s logistics service; exceptions require active tracking within 3 days.
  • All shipments are insured, and signatures are required and stored for 9 months.
  • Seller provides all export-related customs documentation and responds within 24 hours if requested.

Self-billing Invoices & Payments

  • Sabamaa issues a self-billing invoice upon order completion.
  • No refunds or adjustments to self-billing invoices are possible.
  • Overdue payments incur interest at the legal rate for commercial late payments.
  • Sabamaa may verify Seller information and creditworthiness with external agencies.

IP Rights and Claims

  • Seller guarantees that goods do not infringe IP rights and comply with applicable laws.
  • Seller indemnifies Sabamaa against any damage, costs, losses, or third-party claims.
  • Seller must provide evidence of authenticity and lawful market placement of goods upon request.
  • Sabamaa may withhold payments to offset claims or amounts owed by the Seller.
  • Sabamaa may demand refunds, remove goods, block offers, or perform recalls at Seller’s cost.
  • Seller indemnifies Sabamaa against claims from third parties due to breaches.
  • Seller can terminate collaboration in writing; goods will be removed within a reasonable period.

Miscellaneous

  • Seller grants Sabamaa a non-exclusive, transferable license to use information provided.
  • Sabamaa may amend Terms & Conditions; Seller must accept or terminate collaboration within 5 working days.
  • These Terms are governed by Dutch law; disputes are brought before the competent court in Amsterdam.
